End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a binding contract between you (an individual or, where applicable, the entity you represent) and Hangzhou Wanxiang Xunsheng Technology Co., Ltd. (杭州万像循声科技有限公司) (the “Company”, “we”, “us”), a company incorporated in Mainland China (Hangzhou, Zhejiang Province). By installing, copying, activating, or using SoundSeeker (the “Software”), you agree to be bound by this EULA. If you do not agree, do not install or use the Software.

Purchases are completed through Paddle.com Market Limited (“Paddle”), our authorized reseller and Merchant of Record. Paddle is the seller of record for your payment, but the Software is licensed to you by the Company under this EULA.

1. Definitions

  • “Software” means the SoundSeeker application binaries, models, configuration files, documentation, and any updates we make available.
  • “License Key” means a unique credential we issue to authenticate your right to use the Software under a specific edition.
  • “Edition” means the version of the Software you have licensed, including Personal (perpetual), Tools (perpetual), and Team (annual subscription).
  • “User” means the natural person identified as the licensee for a Personal or Tools license, or each individual seat holder under a Team license.

2. Grant of License

2.1 Subject to your compliance with this EULA and payment of applicable fees, the Company grants you a non-exclusive, non-transferable (except as expressly permitted), revocable license to install and use the Software for your own internal creative or professional use, in accordance with the Edition you have licensed.

2.2 This is a license, not a sale. All rights not expressly granted are reserved by the Company.

3. License Scope by Edition

3.1 Personal Edition (Perpetual)

  • For one (1) named natural person only.
  • May be activated on up to one (1) primary device at a time, with a limited number of device-change re-activations as documented in the product. The license is bound to a device-identifier hash for activation; see the Privacy Policy.
  • The Personal license is strictly single-user and may not be shared. Sharing the License Key, the activated installation, or the account with any other person is a material breach of this EULA.
  • Receives free Software updates within the same major version.

3.2 Tools Edition (Perpetual)

  • For one (1) named natural person.
  • May be activated on up to one (1) primary device.
  • Provides access to a defined set of utility tools as listed on our website at the time of purchase.
  • Receives free Software updates within the same major version.

3.3 Team Edition (Annual Subscription)

  • For an organization, with a defined number of named seats.
  • Each seat is for one (1) named natural person; seats may be reassigned within the organization with reasonable frequency.
  • Includes administrative consoles, collaboration features, and central license management as described on our website.
  • Lapses if the subscription is not renewed; see Section 9.

3.4 Trial / Evaluation

  • We may offer time-limited evaluation access. When the evaluation period ends, the Software downgrades to a free tier with reduced functionality. Files and projects you created during the trial remain accessible to you.

4. Restrictions

Except to the extent expressly permitted by this EULA or by applicable mandatory law that cannot be waived, you shall not:

(a) copy the Software except as necessary to install and run it under your license; (b) sell, sublicense, rent, lease, lend, or otherwise transfer the Software, any License Key, or your account, except as expressly authorized in writing; (c) reverse-engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or trained model weights of the Software; (d) circumvent, disable, or attempt to circumvent any license-enforcement, authentication, integrity, or security mechanism; (e) use the Software to develop a competing product or to extract its models for use in another product; (f) remove or alter any proprietary notices, trademarks, or attributions; (g) use the Software in any way that violates applicable law, infringes any third party’s rights, or interferes with our infrastructure.

We provide the Software with technical measures to detect and respond to violations of these restrictions; we may rate-limit, suspend, or terminate access where we observe activity inconsistent with this Section. See Section 9.

5. Fees, Purchases through Paddle, Activation, and Refunds

5.1 Fees and Merchant of Record. Fees for the Edition you have purchased are as set out at the time of purchase. Your purchase is placed with and completed through Paddle.com Market Limited (“Paddle”), our authorized reseller and Merchant of Record, which is the seller of record for the payment: Paddle collects payment, calculates and remits any applicable taxes, issues your receipt/invoice, and processes refunds and chargebacks. The Software is licensed to you by the Company under this EULA. Your purchase is also subject to Paddle’s Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms).

5.2 Activation. The Software requires activation against our license servers. Activation transmits the minimum data necessary; see the Privacy Policy.

5.3 14-Day Satisfaction Refund (No Reason Required). For a perpetual (buy-out) Edition, you may request a full refund within fourteen (14) days of your purchase for any reason, by contacting billing@soundseeker.ai or submitting a request through Paddle. (Refund window length is a draft default; TODO: confirm final window with the business owner before publication.) Refunds are processed by Paddle in accordance with Paddle’s refund policy (https://www.paddle.com/legal/refund-policy) together with this commitment. This is highlighted in the purchase flow.

5.4 Bounded Refund Cases (after the satisfaction window). Refunds remain available, on a pro-rata basis where applicable, in the following bounded cases:

  • (a) Critical defect. A critical, reproducible defect that materially prevents use of the Software, reported within 30 days of purchase, and which we are unable to fix within a reasonable cure period.
  • (b) Hardware failure with no activations used. Where your purchasing device fails and no activation slot has been consumed.
  • (c) Medical incapacity. Documented loss of ability to use the Software due to serious illness or death (refund issued to the user or their estate).

5.5 Statutory rights preserved. Mandatory consumer-protection rights that apply to you under your local law, and your rights under Paddle’s Buyer Terms, are not affected by this Section. Where a longer cooling-off or refund right applies to you under such mandatory law, that right prevails to the extent it cannot be waived.

5.6 Refund process. Send requests with supporting evidence to billing@soundseeker.ai, or submit them through Paddle. We coordinate with Paddle and aim to resolve requests within fourteen (14) business days.

6. Anti-Circumvention

6.1 You shall not bypass, disable, modify, or attempt to interfere with any technical protection measure, integrity check, license-enforcement mechanism, or update mechanism of the Software.

6.2 You shall not knowingly use, distribute, or assist others in using or distributing any tool whose primary purpose is to circumvent the measures described in 6.1.

6.3 The Software may detect tampering or unauthorized modification and may, in such cases, refuse to operate or operate in a reduced-functionality mode. The Software does not silently transmit your User Content to us as part of these protections.

7. Your Data and Content

7.1 Your Content stays yours. All audio assets, project files, and other content you import, create, or process with the Software (“Your Content”) remain your property or that of your licensors. The Company claims no rights in Your Content beyond the limited technical processing necessary to provide the Software to you.

7.2 You are responsible for the lawfulness of Your Content. You represent and warrant that you have the rights necessary to use, store, and process Your Content with the Software. The Company does not screen or vet Your Content.

7.3 Local processing. The Software is designed so that Your Content is processed locally on your device and is not uploaded to or stored on the Company’s servers in the ordinary course of operation. See the Privacy Policy for details and exceptions.

7.4 No training on Your data. The Company does not use Your Content, your search activity, your project data, or any other content you process with the Software to train, fine-tune, or improve our AI models or any third-party AI models. We bind our model and infrastructure providers to the same restriction by contract. This commitment is also reflected in our Privacy Policy.

8. Intellectual Property

8.1 The Software, including its code, AI models, user interface, documentation, and trademarks, is owned by the Company or its licensors and is protected by copyright, trademark, trade-secret, and other laws.

8.2 The Software incorporates open-source components. A current list of those components and their respective licenses is provided in the in-product “About” section and at the URL referenced therein. You may exercise any rights granted to you by those open-source licenses notwithstanding any inconsistent provision of this EULA, but only with respect to the relevant open-source components.

8.3 Feedback you voluntarily provide may be used by the Company without restriction; we will not identify you as the source unless you request it.

9. Term and Termination

9.1 This EULA is effective when you accept it and continues until terminated.

9.2 You may terminate by uninstalling the Software and ceasing all use.

9.3 The Company may terminate this EULA on notice if:

  • (a) you materially breach this EULA (including Sections 3, 4, 6) and, if curable, fail to cure within fourteen (14) days of notice;
  • (b) you fail to pay any fees due (for subscription Editions); or
  • (c) continued provision of the Software to you would expose us to legal risk.

9.4 Effect of termination. Upon termination, the license granted to you ends. You must, within thirty (30) days, cease all use, delete or destroy all copies of the Software in your possession or control, and confirm in writing on request. Sections 4, 7, 8, 10, and 11 survive termination.

9.5 Appeal. You may appeal a termination by writing to legal@soundseeker.ai within seven (7) days. We will review and respond within fourteen (14) business days.

10. Warranties and Limitation of Liability

10.1 Limited Software warranty. We warrant that the Software will substantially conform to its documentation for ninety (90) days from the date of first activation. Your exclusive remedy for breach of this warranty is, at our option, repair or replacement of the Software, or refund of the fees paid for the relevant Edition on a pro-rata basis.

10.2 “As Is” otherwise. Except for the express warranty in 10.1 and to the maximum extent permitted by applicable law, the Software is provided “as is” and “as available”, without warranties of any kind, including merchantability, fitness for a particular purpose, title, and non-infringement.

10.3 AI outputs. The Software’s AI features (e.g., similarity search, classification) are aids to your creative judgment. We make no warranty as to the accuracy, completeness, or suitability of any particular output. You retain decision-making authority over outputs.

10.4 Limitation of liability. To the maximum extent permitted by applicable law, the Company’s aggregate liability for any claim arising out of or relating to the Software or this EULA is limited to the greater of:

  • (a) the amount you paid us for the relevant Edition in the twelve (12) months preceding the event giving rise to the claim; or
  • (b) USD 100.

10.5 Excluded damages. To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, or business interruption.

10.6 Mandatory exceptions. Nothing in this Section excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded under applicable mandatory law.

11. Governing Law and Dispute Resolution

11.1 Governing law. This EULA is governed by the laws of the People’s Republic of China (Mainland), without regard to conflict-of-laws rules.

11.2 Informal resolution. Before initiating any formal proceeding, you agree to contact us at legal@soundseeker.ai and to attempt good-faith resolution for at least thirty (30) days.

11.3 Jurisdiction. Disputes that cannot be resolved informally shall be submitted to the competent People’s Court of Hangzhou, Zhejiang Province, China, whose jurisdiction the parties agree to, except where mandatory law provides otherwise.

11.4 Payments and refunds. Disputes concerning the payment transaction, billing, taxes, or refunds are, in the first instance, between you and Paddle as Merchant of Record, governed by Paddle’s Buyer Terms; you may also contact us at billing@soundseeker.ai for assistance in coordinating with Paddle.

11.5 Mandatory consumer rights. Where you are a consumer in a jurisdiction whose mandatory consumer-protection law gives you the right to bring proceedings in the courts of your habitual residence, this Section does not restrict that right.

12. General

12.1 Entire agreement. This EULA, together with the Terms of Service, Privacy Policy, and Cookie Policy, constitutes the entire agreement between you and the Company concerning the Software.

12.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.

12.3 No waiver. Failure to enforce any right is not a waiver of that right.

12.4 Assignment. You may not assign this EULA without our prior written consent. We may assign in connection with a merger, acquisition, or sale of assets.

12.5 Updates to this EULA. We may update this EULA for new versions of the Software. We will notify you of material changes at least fourteen (14) days before they take effect for new installations or renewals. For perpetual licenses already in use, your continued installation of optional updates indicates acceptance for those updates; you may continue to use the version you last accepted under the prior EULA.

12.6 No final-interpretation clause. Nothing in this EULA shall be construed to reserve to the Company a “final and exclusive right of interpretation” or any equivalent unilateral interpretive power.
